William D. Merritt

CEO of Verde USA, LLC

Mr. Merritt is a seasoned entrepreneur with over 20 years of experience organizing successful companies and executing profitable business plans. As CEO of Verde, he oversees all operational aspects of the various channels that ensure Verde holds firm as a leader in the U.S. cannabis industry.

Mr. Merritt’s deep legal and transactional knowledge comes from his years practicing law at Jones Day, one of the largest global law firms. Following his departure from law to pursue entrepreneurial interests, Mr. Merritt grew more than a dozen vertically-integrated companies focused on all aspects of residential real estate.

Drawing on the successes of his real estate business model, Mr. Merritt identified vertical integration as crucial for organic growth in the cannabis industry early on. Strategically acquiring a shuttered Oregon medical dispensary in 2016, Mr. Merritt made the pivotal move to focus on overlooked-markets and consumers. This resulted in targeted acquisitions from seed to sale, allowing control of all Verde products and processes and by extension, the control of the company’s profitable financial future. 

Under Mr. Merritt’s shrewd and innovative leadership, the Verde team has secured licenses for two cultivation operations, two extraction operations and seven retail outlets. As imminent federal legalization across the U.S. occurs, Verde’s proven business structure will position Verde USA, LLC as a cannabis mainstay in critical states needed by large scale companies to quickly roll-out a complete nationwide campaign.


Amy Merritt

Senior Vice President of Verde USA, LLC

Mrs. Merritt offers a wealth of management experience and as SVP of Verde, she is dedicated to meticulous compliance and day-to-day operations of the multi-faceted components of Verde.  Actively working with the team’s vertically integrated supply chain, from grow, dispensary, and processor managers, Mrs. Merritt ensures strict adherence to all state and local laws and regulations.  

Mrs. Merritt’s agile insights and legal background provide her with a keen mobility to maneuver through the cannabis industry in both mature and emerging markets. She has experience in building cannabis operations from the ground up, having successfully navigated the inevitable issues presented by a state new to cannabis.  Her years of experience in states with mature cannabis markets provides her with an established framework to use when approaching business ventures in these emerging markets, which often lack clear laws and well-developed regulations on many aspects of the cannabis business.  She is versed in the unique challenges of each market and astutely understands how to operate successful and compliant operations in both types of markets.  

As more states continue to legalize cannabis, Verde is equipped to enter those new states as first movers and establish a market presence.   Amy, in conjunction with the teams she collaborates with and cooperatively monitors, upholds the unique Verde experience that will further its exponential growth and ensure its operations are a benchmark for compliance in newly legalized U.S. states.

 

Tim Townhill

CFO of Verde USA, LLC

Mr. Townhill’s long career in business and finance has taken him around the world. Following his experience as a mining engineer in South Africa, he applied his trusted counsel and economic schooling in London, UK to the business and finance side of the mining industry throughout Africa, Australia, and the Former Soviet Union, including cross border mergers and acquisitions. His wide ranging roles in risk management, debt, and structured finance and equity capital markets involve time as a mining equity analyst covering major international mining groups. 

Spending years in the fast-paced financial markets of New York and Toronto provided Mr. Townhill with exposure to and experience in Merchant Banking, private equity financing, and commodity risk management. Now permanently based in the U.S., he secured backing from a large private equity energy group and later created a small roll-up vehicle, which acquired for four times its ROC after just three years in operation. He adapted this successful template to found an oil-field logistics business in Fort Worth, TX. Starting with merely two assets, as CFO he and his business partner grew the company to be the largest independent group focused on niche oil-field logistics, later sold to a large PE group.  

Mr. Townhill brings his balance of strategic business acumen, keen entrepreneurial aptitude, and proven operating expertise to all Verde transactions. Responsible for leading Verde’s efforts in capital raising and structuring, he identifies and reviews, structuring, and closing deals to execute and propel the Verde growth plan.
